Acceptable Use Policy

1. Purpose and Scope

This Acceptable Use Policy (“AUP”) defines what you can and cannot do with Vephon Studio (the “Service”). It applies to all users, across all subscription plans (including the Free plan), and covers all methods of accessing the Service, including the web application, APIs, SDKs, and any integrations.

This AUP is incorporated by reference into our Terms of Service. Violations of this AUP constitute a violation of the Terms of Service and may result in enforcement actions up to and including permanent account termination and referral to law enforcement.

Vephon Studio is a powerful AI creative tool. With that power comes responsibility. You are solely responsible for all content you create, publish, or distribute using the Service.

2. Permitted Uses

You may use the Service for the following purposes, subject to the rest of this policy:

  • Creating original AI personas (fictional characters) for creative, marketing, or content production purposes;
  • Generating social media content, marketing materials, and visual assets for brands, businesses, and personal projects;
  • Commercial use of generated content on paid plans (Creator and above), including advertising, marketing, product promotion, and editorial use;
  • Cloning voices with proper consent for voiceovers, audio content, podcasts, and creative projects;
  • Designing new synthetic voices from text descriptions;
  • Educational, academic, and research purposes;
  • Entertainment content featuring clearly fictional AI-generated characters;
  • Personal, non-commercial creative projects (all plans); and
  • Building applications and integrations using our APIs in compliance with our API terms.

3. Prohibited Content

You may never use the Service to create, generate, upload, store, or distribute the following types of content:

Real person impersonation: Images, audio, video, or other content depicting real, identifiable individuals without their explicit, documented written consent. This prohibition applies to all real persons, including but not limited to public figures, celebrities, politicians, private individuals, and any person who has not provided verifiable consent.

Non-consensual intimate content (NCII): Any sexual, intimate, or nude imagery of real persons, regardless of whether consent is claimed. This is absolutely prohibited with zero tolerance.

Deepfakes: Realistic synthetic media designed to falsely depict a real person’s statements, actions, appearance, or voice in a manner that could mislead viewers about the authenticity of the content.

Child sexual abuse material (CSAM): Any sexual, exploitative, or abusive content involving minors, whether the depicted minors are real or AI-generated fictional characters. This is absolutely prohibited with zero tolerance and will be reported to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement.

Disinformation and manipulation: Content deliberately designed to spread false information, manipulate public opinion, interfere with elections, or deceive individuals about matters of public importance, including synthetic media presented as authentic.

Hate speech and discrimination: Content that attacks, threatens, incites violence against, or dehumanizes individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, age, veteran status, or any other protected characteristic.

Terrorism and violent extremism: Content that promotes, glorifies, recruits for, or provides operational support to terrorist organizations or violent extremist groups.

Self-harm and suicide: Content that promotes, encourages, instructs, or glorifies self-harm or suicide.

Fraud and deception: Content created for the purpose of fraud, phishing, social engineering, scams, identity theft, or other deceptive or criminal schemes.

Spam: Bulk-generated content intended for unsolicited distribution, including automated posting to social media, email spam, or comment spam.

Illegal content: Any content that is illegal under the laws of your jurisdiction, the jurisdiction where the content will be distributed, or the laws of India.

Malware and harmful code: Content designed to deliver, distribute, or promote malware, ransomware, spyware, or other harmful software.

4. Prohibited Activities

In addition to content prohibitions, the following activities are prohibited:

Reverse engineering and decompilation: You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, model weights, or underlying technology of the Service or any AI models accessed through the Service.

Automated access and scraping: You may not access the Service through automated means (bots, scrapers, crawlers, or scripts) except through our officially provided APIs and within documented rate limits. You may not scrape, crawl, or systematically download content from the Service.

Circumventing controls: You may not circumvent, disable, or interfere with rate limits, credit limits, content moderation systems, access controls, authentication mechanisms, SynthID watermarks, or any other technical measures implemented by the Service.

Commercial resale: You may not resell, sublicense, redistribute, or white-label access to the Service itself, including API access, without a separate commercial agreement with Vephon AI. (You may sell content you generate using the Service on paid plans, subject to these Terms.)

Security probing: You may not probe, scan, or test the vulnerability of the Service or any related system or network, or attempt to breach security or authentication measures, without our prior written authorization. Authorized security researchers should contact us at connect@vephon.com before conducting any testing.

Credential abuse: You may not share your account credentials, API keys, or session tokens with others. You may not use another person’s account without their authorization. You may not create multiple accounts to circumvent restrictions, abuse free-tier credits, or evade enforcement actions.

API abuse: You may not exceed documented rate limits, use the API in a manner that degrades the Service for other users, make excessive requests with the intent to overload our systems, or use the API for competitive benchmarking without our consent.

Interference: You may not interfere with or disrupt the Service, servers, or networks connected to the Service, including through denial-of-service attacks, injection attacks, or uploading malicious files.

Model extraction: You may not use the Service to systematically extract, replicate, or distill the capabilities of the underlying AI models, whether through prompt engineering, output analysis, or any other method.

5. Voice Cloning Restrictions

Voice cloning is a powerful feature with significant legal and ethical implications. The following restrictions apply in addition to the general prohibitions above:

Mandatory consent: You must obtain the voice owner’s explicit, informed, written consent before cloning their voice. You must confirm this consent through the Service’s consent mechanism before any voice processing begins. By confirming consent, you represent and warrant under penalty of perjury that consent has been obtained.

Your own voice: You may clone your own voice at any time.

Documentation requirements: For voices that are not your own, you must maintain written records of voice owner consent, including: the voice owner’s identity, the date consent was given, the scope of permitted use, and any limitations specified by the voice owner. You must retain these records for at least three (3) years and produce them upon Vephon’s request.

Prohibited voice cloning:

  • Cloning the voice of any public figure, celebrity, politician, or notable individual without their explicit written consent and any required licensing;
  • Cloning the voice of any deceased person without the explicit consent of their estate, heirs, or legal representative;
  • Cloning the voice of any minor (under 18) under any circumstances;
  • Using cloned voices for fraud, impersonation, deception, harassment, or to mislead others about the identity of the speaker;
  • Creating cloned voices intended to imitate law enforcement, government officials, or emergency services;
  • Using cloned voices in robocalls, automated phone systems, or any communication where the recipient may reasonably believe they are speaking with a real person, without clear disclosure; and
  • Cloning voices using recordings obtained without the speaker’s knowledge or consent.

User liability: You are solely responsible for all legal consequences of your voice cloning activities. Vephon AI provides the technology; you are responsible for its lawful use. Any claims arising from unauthorized or illegal voice cloning are entirely your liability, and you agree to indemnify Vephon AI as described in our Terms of Service.

Audit and enforcement: We log all voice cloning activities and reserve the right to audit usage at any time. We may request proof of consent and may suspend or terminate voice cloning access if consent cannot be verified or if we reasonably suspect misuse.

6. AI Content Disclosure Obligations

You are responsible for complying with all applicable laws and platform policies regarding the disclosure of AI-generated content. Specifically:

SynthID watermarks: All images generated by the Service contain an invisible SynthID watermark identifying them as AI-generated. You may not remove, alter, obscure, or attempt to circumvent this watermark. Removing or circumventing the watermark is a material breach of the Terms of Service and may violate applicable law.

Legal disclosure requirements: Various jurisdictions, including the European Union (under the EU AI Act, Article 50), require that AI-generated content be labeled or disclosed as synthetic. You are solely responsible for:

  • Understanding and complying with AI content disclosure laws in your jurisdiction and the jurisdictions where your content is distributed;
  • Adding appropriate labels, captions, or metadata identifying content as AI-generated where required by law;
  • Complying with platform-specific disclosure policies (e.g., Instagram, LinkedIn, X, TikTok disclosure requirements for AI-generated content); and
  • Ensuring that AI-generated voices are disclosed as synthetic in all contexts where such disclosure is required by law.

No misrepresentation: You may not present AI-generated content as authentic human-created content in contexts where such misrepresentation would be deceptive, misleading, or illegal. This includes (but is not limited to) journalism, legal proceedings, academic submissions, and government communications.

Vephon’s non-liability: Vephon AI is not responsible for your failure to disclose that content is AI-generated. Any legal consequences of non-disclosure are entirely your responsibility.

7. Intellectual Property Compliance

You must respect the intellectual property rights of others when using the Service:

  • You may not upload reference images, audio, or other inputs that infringe on the copyright, trademark, or other intellectual property rights of third parties;
  • You may not use the Service to generate content that deliberately replicates or imitates copyrighted characters, trademarked logos, or other protected works;
  • You may not use prompts designed to reproduce copyrighted text, lyrics, or literary works;
  • You may not use generated content in a manner that creates a likelihood of confusion with existing trademarks or brands; and
  • You are solely responsible for ensuring that your use of AI-generated content does not infringe third-party intellectual property rights.

If you receive a notice that content you created using the Service infringes a third party’s rights, you must promptly remove the content and notify us. See our Terms of Service for our DMCA and intellectual property complaint procedure.

8. Export and Sanctions Compliance

You agree to comply with all applicable export control laws and economic sanctions programs, including those administered by the United States (OFAC, BIS), the European Union, and other relevant jurisdictions. Specifically:

  • You may not use the Service from, or on behalf of entities located in, countries or territories subject to comprehensive economic sanctions (including, as of the date of this policy: Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions);
  • You may not use the Service if you are on any applicable restricted party list (including the U.S. Specially Designated Nationals and Blocked Persons List, the U.S. Entity List, or equivalent lists maintained by other jurisdictions);
  • You may not use the Service to develop, produce, or disseminate weapons of mass destruction or their delivery systems; and
  • You may not use the Service in connection with any military, intelligence, or surveillance application without our prior written consent.

9. Enforcement and Consequences

We take violations of this AUP seriously and enforce it through a tiered response system:

Tier 1 — Warning: For first-time minor violations, we may issue a written warning identifying the violation and the corrective action required. You will have the opportunity to remedy the violation.

Tier 2 — Content removal and temporary restriction: For repeated minor violations or moderate violations, we may remove the offending content, temporarily restrict specific features (such as voice cloning or API access), and issue a final warning.

Tier 3 — Account suspension: For serious violations or failure to remedy after warning, we may suspend your account for a defined period. During suspension, you will not be able to access the Service, but your data will be preserved.

Tier 4 — Permanent termination: For severe violations (including any zero-tolerance violations: CSAM, NCII, terrorism), repeated serious violations, or failure to comply after suspension, we will permanently terminate your account and delete all associated data after the post-termination retention period.

Law enforcement referral: For violations involving illegal activity, we will cooperate fully with law enforcement and may proactively report violations, particularly those involving CSAM, fraud, threats of violence, or other criminal conduct.

No liability for enforcement: We are not liable for any losses or damages resulting from enforcement actions taken in good faith under this AUP, including content removal, feature restriction, account suspension, or account termination.

Immediate action: We reserve the right to take immediate action (including suspension or termination without prior warning) for severe violations that pose an immediate risk to user safety, legal compliance, or the integrity of the Service.

10. Appeals Process

If you believe an enforcement action was taken in error, you may appeal:

  • How to appeal: Send an email to connect@vephon.com with the subject line “AUP Appeal — [Your Account Email].”
  • Include: Your account email, the enforcement action taken, the date it occurred, and a detailed explanation of why you believe the action was taken in error, including any supporting evidence.
  • Review timeline: We will acknowledge receipt of your appeal within 5 business days and provide a substantive response within 15 business days.
  • Review process: Appeals are reviewed by a person who was not involved in the original enforcement decision.
  • Outcome: We may uphold, modify, or reverse the enforcement action. Our decision on appeal is final.
  • No suspension of enforcement: Filing an appeal does not suspend the enforcement action during the review period, except in extraordinary circumstances at our discretion.

11. Reporting Violations

If you become aware of content or activity on the Service that violates this AUP, please report it to us:

Your report should include, where possible:

  • A description of the violation;
  • The URL or identifier of the content or account involved;
  • Screenshots or other evidence;
  • The specific section of this AUP you believe was violated; and
  • Your contact information (optional, but helpful for follow-up).

We review all reports and take appropriate action. We will not retaliate against users who report violations in good faith. We may not be able to disclose the specific outcome of our review due to privacy and legal considerations.

12. Cooperation with Law Enforcement

Vephon AI cooperates with law enforcement agencies and regulatory authorities as follows:

  • Legal process: We will disclose user data in response to valid legal process, including subpoenas, court orders, search warrants, and other lawful requests from governmental authorities.
  • Preservation requests: Upon receipt of a valid preservation request from law enforcement, we will preserve relevant user data for the period specified (or, if no period is specified, for 90 days, renewable upon request).
  • Proactive reporting: We may proactively report to law enforcement and relevant authorities (including NCMEC) when we become aware of content or activity that involves imminent danger to life, CSAM, terrorism, or other serious criminal activity.
  • Emergency disclosures: In cases involving imminent risk of death or serious physical injury, we may disclose information to law enforcement without legal process to the extent permitted by applicable law.
  • User notification: Unless prohibited by law or court order, we will make reasonable efforts to notify affected users of law enforcement requests for their data.
